All content on the Compass Point platform — including text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — is the property of Compass Point or its content suppliers and is protected by applicable US and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
3.2 Your Content
By submitting, uploading, or posting any content to our Services (“User Content”), you grant Compass Point a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, and adapt that content solely for the purpose of operating and improving our Services. You retain all ownership rights in your User Content.
3.3 Feedback
If you provide suggestions, ideas, or feedback about our Services, you agree that we may use such feedback without restriction or compensation to you.

- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Services will be uninterrupted, error-free, or secure
- Any warranty regarding the accuracy, reliability, or completeness of any content on the platform

6. Limitation of Liability
To the maximum extent permitted by applicable law, Compass Point, its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunities — arising out of or in connection with your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of these Terms or your use of the Services shall not exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) $100.
7. Indemnification
You agree to defend, indemnify, and hold harmless Compass Point and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys’ fees — arising out of or in any way connected with your use of the Services, your User Content, or your violation of these Terms.
8. Privacy
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in that Policy.
9. Modifications to the Services & Terms
9.1 Changes to Services
We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
9.2 Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page and, where appropriate, notify you by email or through a notice on our platform. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas and applicable federal law, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or your use of the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with proceedings conducted in Hays County, Texas.
Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction in Hays County, Texas, to prevent irreparable harm pending arbitration.
11. Severability & Entire Agreement
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Compass Point regarding your use of the Services and supersede all prior agreements and understandings.
